& Conditions of Sale
Please read these terms carefully. As a B2B manufacturer, these conditions govern the manufacturing and supply of cosmetic packaging solutions from BeautyPlus to our valued professional clients.
General Provisions
These Terms and Conditions ("Agreement") constitute a legally binding agreement between BeautyPlus Packaging ("Seller", "Manufacturer") and the entity purchasing products ("Buyer", "Client").
This Agreement applies to all sales of goods, including but not limited to airless bottles, lotion pumps, jars, and custom tooling services. By issuing a Purchase Order (PO) or paying a deposit, the Buyer acknowledges and accepts these terms. These terms supersede any prior agreements or the Buyer's standard terms unless explicitly agreed otherwise in writing by the Seller.
Orders, Contracts & MOQ
2.1 Order Confirmation
Orders are only deemed accepted upon the issuance of a formal Proforma Invoice (PI) by the Seller and the receipt of the agreed deposit. Verbal commitments, email discussions, or quotation sheets do not constitute a confirmed order.
2.2 Minimum Order Quantity (MOQ)
- Standard Production: 10,000 pieces per SKU for custom color injection and printing.
- In-Stock Items: 1,000 - 3,000 pieces (subject to current inventory availability).
- Quantity Tolerance: Due to the nature of mass manufacturing, the Buyer agrees to accept a quantity variance of +/- 5%. The final invoice will reflect the actual quantity shipped.
2.3 Sample Approval ("Golden Sample")
Before mass production, the Seller will provide pre-production samples. The Buyer must approve these samples in writing. The "Golden Sample" serves as the quality benchmark for all subsequent production. It is the Buyer's sole responsibility to test the compatibility of their formula with the packaging components.
Payment Terms
Unless otherwise specified in the Proforma Invoice, our standard payment terms are:
- Step 1 50% Deposit Required to purchase raw materials and schedule production slots.
- Step 2 50% Balance Due after production completion and QC inspection, before shipment release.
* For custom molds or private tooling, a 50% deposit or 100% tooling fee is required upfront.
Production & Lead Time
Standard lead time is approximately 20-25 days for injection molding and assembly after deposit receipt and artwork approval. Additional decoration processes (such as hot stamping, metallization, or soft-touch coating) may extend the lead time by 7-10 days.
The Seller shall not be liable for delays caused by:
- Late approval of samples or artwork by the Buyer.
- Changes to specifications requested by the Buyer during production.
- Force Majeure events or raw material shortages beyond reasonable control.
Shipping & Delivery
Unless otherwise agreed, all prices are quoted FOB (Free on Board) Shanghai/Ningbo or EXW (Ex Works) factory. The risk of loss or damage to goods passes to the Buyer once the goods are handed over to the designated carrier or loaded onto the vessel.
Note: The Buyer is responsible for all import duties, taxes, VAT, and customs clearance fees in the destination country. We can provide assistance with documentation (packing list, commercial invoice, bill of lading) to facilitate clearance.
Quality Assurance & Claims
Inspection Standards
We adhere to international AQL (Acceptable Quality Limit) standards for cosmetic packaging:
• Critical Defects: 0
• Major Defects: 1.5
• Minor Defects: 4.0
Buyer's Right to Inspect
The Buyer may arrange for third-party inspection (e.g., SGS, Intertek) at the Seller's factory before shipment at the Buyer's expense.
Claim Policy
Any claims regarding quality must be made in writing within 14 days of receiving the goods.
Limitation of Liability: Seller's liability is strictly limited to the replacement of defective packaging or refund of the purchase price of the defective units. Seller is not liable for the value of the formula/filling or loss of potential sales.
Intellectual Property
Custom Molds: Any molds or tooling fully paid for by the Buyer remain the exclusive property of the Buyer. Seller agrees not to use these molds for any other third party.
Artwork: Buyer warrants that they hold the rights to all artwork, logos, and designs provided for printing. Buyer indemnifies Seller against any IP infringement claims arising from the production of such designs.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Agreement shall be settled through friendly negotiation; failing which, they shall be submitted to the arbitration commission in the jurisdiction of the Seller.
